Your participation in the user community is subject to the Terms and Conditions set out below. Eligibility criteria

By agreeing to these terms and conditions you confirm that:

You are over 18 years old;

You are a UK resident; and

You will be willing to take part in online surveys and also be considered for in -person user testing (at a time convenient to you).

Your confidentiality obligations

It is essential that you keep information relating to your participation in this community confidential. In particular, you must not:

disclose to anyone else any information, experience, images, content or details provided to you as a test feature;

write any comments on the internet, including any social networking sites, relating to a test feature; or

take or share any photographs of any other materials in connection with a test feature.

These restrictions apply during your participation in the user community and after your participation unless and until the test feature becomes publicly available.

THE USER COMMUNITY

Terms and Conditions of Participation

These Terms and Conditions when accepted by you form a legally binding agreement between YouView TV Ltd (which we refer to in these Terms and Conditions as “YouView”, “we”, “us” or “our”) and you as the participant in the User Community (which we refer to as “you” or “your”). The “Content” shall mean any test feature or other content disclosed to you as part of the User Community.

1. OWNERSHIP OF RIGHTS

Any intellectual property rights in the Content, software and/or hardware or otherwise in the provided to you during your participation in the User Community remains at all times owned by (as appropriate) YouView, the content provider or the manufacturer or any of their licensees.

You agree that any feedback you provide and/or any other information and/or data gathered relating to your general participation in the User Community will be owned by us and used by us and may be distributed by us to our trusted third parties who will only use it to help us improve the YouView service.

2. YOUR DATA AND PRIVACY

Types of information we collect

We collect certain information from you such as your name, email address and age.

How we use your information

We will always keep your personal data secure and will only use it for the purposes of improving the YouView service.

We will only share this information with our trusted third parties (in particular, our content providers and service providers) for the purposes of improving the YouView service.

We will not use any of your data for marketing purposes.

We will always let you know if we intend to collect, use and/or share your data in a different way to that which is set out in this paragraph 2, and we will give you an opportunity to cease participation in the User Community.

We consider that the legal basis for using your personal information as set out in this privacy policy is that such use is necessary either:

In order to provide the YouView service to you as set out in this User Community terms and conditions (which constitutes a contract for the provision of the YouView services); or

For our legitimate interests in providing the YouView services, in particular to provide the YouView services in a commercially suitable way which is tailored to your use and interests.

In the future use of your personal information may be subject to your consent (which can withdrawn at any time, as described below). Where this is the case, that need for consent will be identified in this User Community terms and conditions.

If, in the future, we rely on your consent for us to use your personal information in a particular way, but you later change your mind, you may withdraw your consent by contacting us via the method set out in the “Contact Us” section of the Privacy & Cookies Policy (http://www.youview.com/privacy/product/) and we will stop doing so.

How long will we store your information

We will use and store information about you in accordance with the below:

In respect of your User Community account - for the duration of your being a User Community member and thereafter for a period of two years.

International transfers

From time to time, some of our service providers may provide services to us from territories that are outside the UK or the European Economic Area (the "EEA"), such as the USA. Territories outside the UK and EEA may not offer the same level of protection for personal information as the UK or members of the EEA. However, if we provide any personal data about you to any such non-EEA service providers, we take appropriate measures to ensure those service providers protect your personal information adequately in accordance with data protection legislation.

3. OUR REQUESTS AND YOUR PARTICIPATION IN THE USER COMMUNITY

One of the purposes of the User Community is to gather data on both technical performance and user experience. You agree to comply with reasonable requests from us in relation to the User Community, which might involve:

carrying out certain tasks;

completing various online and/or paper questionnaires and surveys;

taking part in telephone interview(s), but only if you agree to do so – these will be an incoming call for which you will not be charged;

attending a feedback session, either virtually or in person, but only if you agree to do so; and

participating in other user research activities, including but not limited to an online triallist forum.

We may ask you specifically to participate in the User Community in line with qualifying criteria outlined to you. If you do not meet this qualifying criteria we reserve the right to end your participation in the User Community

4. COSTS YOU MIGHT INCUR IN TAKING PART

You are responsible for all of your internet service provider costs and any other expenses in your participation of the User Community.

5. OUR LIABILITY TO YOU

We do not make any representations or warranties or guarantees, either express, implied or statutory, with respect to your experience in participating in the User Community.

Under no circumstances will we or the companies behind YouView be liable to you or anyone else for the following kinds of loss or damage which may arise from your participation in the User Community:

loss or damage suffered by you or someone else when we comply with these Terms and Conditions;

loss or damage which is caused by YouView when we do not comply with these Terms and Conditions but which YouView and you could not anticipate nor expect to happen when you started your participation in the User Community;

any loss which is indirect or a side effect of the main loss or damage and which YouView and you could not anticipate nor expect to happen when you started your participation in the User Community, for instance if you lose revenue or salary, profit, opportunity or reputation; and

provided YouView complies with its obligations to you regarding your personal data under paragraph 2 of these Terms and Conditions and applicable data protection laws, any loss of data or damage to your device or software,

For the avoidance of doubt, YouView is not liable to you for any losses or damages caused by or as a result of external devices. Nothing in the Terms and Conditions excludes or limits either YouView’s or your liability for death or personal injury caused by negligence or for fraud.

6. HOW YOUR PARTICIPATION IN THE USER COMMUNITY MIGHT COME TO AN END

We reserve the right to terminate these Terms and Conditions and/or your participation in the User Community immediately: if in our sole opinion User Community content is used inappropriately, incompetently or in any manner that might constitute derogatory treatment of us, the YouView service generally, any of the companies behind YouView or content provider of its content or might bring us or any of the companies behind YouView or content provider into disrepute;

in the event that you do not comply with any of these Terms and Conditions; or

at any other time.

8. OTHER TERMS AND CONDITIONS THAT APPLY TO YOUR PARTICIPATION IN THE USER COMMUNITY

If YouView decides not to exercise or enforce any right that it has against you at a particular time, then this does not prevent YouView from later deciding to exercise or enforce that right.

If any part of these Terms and Conditions is found to be illegal, invalid or otherwise unenforceable by a court or regulator, then, where required, that part shall be deleted from these Terms and Conditions and the remaining parts of these Terms and Conditions will continue to be enforceable.

These Terms and Conditions do not create or infer any rights that are enforceable by any person who is not party to these Terms and Conditions.

You may not assign, sub-license or otherwise transfer any of your rights and obligations in the Terms and Conditions to any other person.

These Terms and Conditions may be updated from time to time by us. Any update will be notified to you and your acceptance required in order for you to continue participating in the User Community.

You acknowledge that any violation of the Terms and Conditions set out may cause immediate and irreparable harm, research and development costs, legal and investigative costs, loss of business, profit and revenue as well as reputational damages which money damages cannot adequately remedy. In such circumstances we or the companies behind YouView may seek a preliminary and/or permanent injunction, in order to restrain any breach by you or any entity or person associated with the said breach. You understand that such orders are additional to and do not limit the availability to us of any other remedy.

All provisions which must survive in order to give effect to their meaning, shall survive any expiration or termination of these Terms and Conditions, including without limitation your confidentiality obligations.

Any disputes arising out of these Terms and Conditions will be governed by and interpreted in accordance with the laws of England and Wales (or the laws of Scotland or Northern Ireland if you live there). If you choose to bring proceedings in connection with the Terms and Conditions you must do so in the courts of England and Wales unless you live in Scotland or Northern Ireland, in which case you can choose to bring proceedings there.

9. TERMS AND CONDITIONS FOR PRIZE DRAWS

You will automatically be entered into the free prize draw during the months in which you complete a survey.

The prize draw is open to UK residents aged 18 years old or over other than employees of the Promoter, the Promoter’s agencies or their families. The Promoter reserves the right to request evidence of proof of age.

For a chance to win a £75 Amazon voucher, complete a survey and submit electronically the completed survey along with a valid email address by the Closing Date (the “Prize Draw”). The Prize Draw ends on the 28th of that month in which the survey was closed (the “Closing Date”). Entries received after the Closing Date will not be included. Surveys may only be completed once per

entrant and gains one entry into that survey’s prize draw for each survey completed. If there are multiple surveys available during a month, then each separate survey completed will give the entrant one entry into that survey’s prize draw. YouView reserves the right to not run a survey in any given month and in which case reserves the right not to run a prize draw in any given month

Internet access is required to enter this Prize Draw. Only one entry to this Prize Draw is permitted per person. Multiple entries by one person will not be accepted.

For each survey there will be one prize to be won which is a £75 Amazon voucher for use on www.amazon.co.uk (the “Prize”). There is no cash alternative. Additional terms and conditions relating to the gift card may apply and can be found on the Amazon website at www.amazon.co.uk.

The winner will be the first entry picked at random from all valid entries received by the Closing Date. In the event of any dispute, the decision of the Promoter is final. In the event of unforeseen circumstances, the Promoter reserves the right to substitute the prize for an alternative of equal or greater value. No correspondence will be entered into.

The winner will be notified by YouView by email within 28 days of the Closing Date (“Notification”).

In order to claim their prize, the winner(s) must respond to the Promoter's Notification within fourteen (14) days. If the prize is unclaimed after this time, it will lapse and the Promoter reserves the right to offer the unclaimed prize to substitute winner/s selected in accordance with the Prize Draw rules.

The Promoter reserves the right at its sole discretion to disqualify and / or withhold the prize(s) of any individual found to be tampering with the entry process or operation of the Prize Draw, or to have acted in any manner deemed by the Promoter to be in violation of these Terms and Conditions.

Any entries from agents, third parties, organised groups or applications automatically generated by computer will not be accepted. Incomplete, illegible or corrupted entries or entries not in accordance with the rules of the Prize Draw will not be accepted.

Responsibility is not accepted for entries lost or delayed as a result of any network, computer hardware or software failure of any kind. The Promoter shall not be liable for any loss, damage or consequential damage of any nature in contract, tort (including negligence) or otherwise caused by acceptance of the terms and conditions or in connection with the prize (to the extent permissible by law) including if the Prize is lost by the courier in transit to the winner or does not work due to circumstances outside the control of the Promoter.

The winner may be required to participate in publicity arising from this Prize Draw.

The Promoter (or its authorised third party) may collect entrants’ data including an email address for the purposes of administering this Prize Draw. By entering the Prize Draw, you consent to your data being used for the purpose of administering this Prize Draw and for the purpose of the Promoter contacting you in the event you are a winner.

These terms and conditions and any issues or disputes which may arise out of or in connection with these terms and conditions (whether such disputes or issues are contractual or non-contractual in nature, such as claims in tort, for breach of statute or regulation or otherwise) shall be governed by and construed in accordance with English law. Entrants hereby irrevocably submit to the exclusive jurisdiction of the English courts to settle any such dispute or issues.
